Terms of Service

These Terms of Service ("Terms") govern access to and use of the Shopify application provided by aulvem ("we", "our", "the Service"). By installing or using the Service, you ("the Merchant") agree to these Terms.

1. Service description

The Service generates, stores, and produces export-tax-evidence documentation for Japan-based Shopify merchants who export physical goods internationally. Features are organized in two tiers:

Billing begins on installation. The Merchant may cancel at any time by uninstalling the Service through Shopify; Shopify prorates any remaining days of the current billing cycle.

2. Eligibility

The Service is intended for Japan-based merchants exporting goods. We do not represent compliance with non-Japanese tax regimes. The Merchant is responsible for verifying that the Service's outputs satisfy any tax authority's requirements that apply to its business.

3. Account and security

The Merchant is responsible for maintaining the confidentiality of its Shopify account and for all activity that occurs through the OAuth-installed Service. Notify us at support@aulvem.com immediately if you suspect unauthorized access.

4. Payment and billing

Subscriptions are billed monthly through Shopify Billing API. Charges appear on the Merchant's Shopify invoice. Cancellation is effective at the end of the current billing period; we do not pro-rate refunds.

The Merchant retains ownership of all order data, customer data, and uploaded documents. We hold a limited license to process this data only to provide the Service, as described in our Privacy Policy.

7. No tax or legal advice

The Service is software. We are not your tax advisor, accountant, or legal counsel. Output of the Service is intended to support the Merchant's compliance work but does not guarantee the outcome of any tax audit or legal proceeding. The Merchant must consult its own qualified advisor for tax positions, retention obligations, and audit response.

8. Service availability

We aim for 99.5 percent monthly availability but do not guarantee any specific uptime. Scheduled maintenance windows are announced via the Shopify App Store changelog at least forty-eight hours in advance. Maintenance times are stated in UTC.

9. Limitation of liability

To the maximum extent permitted by applicable law, our total cumulative liability under these Terms is limited to the fees the Merchant paid for the Service in the twelve months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost data beyond restorable backups, or tax penalties imposed by any authority.

10. Indemnification

The Merchant agrees to indemnify and hold us harmless from any claim arising from the Merchant's use of the Service in violation of these Terms or applicable law.

11. Termination

Either party may terminate this agreement at any time. We may suspend or terminate access immediately if the Merchant breaches Section 5 (Acceptable use) or fails to pay overdue charges. Upon termination, the data-retention rules in our Privacy Policy apply.

12. Modifications

We may update these Terms by posting a revised version on our website and notifying Shopify Partners account holders. Continued use of the Service after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of Japan. Disputes are resolved in the courts of Tokyo, Japan, except where mandatory consumer-protection or data-protection law requires another jurisdiction.
